1. Introduction
Welcome to geevo, where we are revolutionizing the ticketing experience. At geevo, we offer state-of-the-art technology tools to empower organizers to manage, sell, and promote small events. Our comprehensive suite of services is meticulously designed to streamline event organization and engagement, ensuring your event management process is seamless and practical.
1.1 Acceptance of Terms
Your access to and use of our services is governed by these Terms of Service, which include all terms and conditions contained herein and any other operational rules, policies, and procedures that may be published periodically on the site by geevo. These are legally binding agreements between you and geevo; you accept these terms in full by accessing or using any part of the service. You may not access the service if you disagree with any part of the terms.
2. Definitions
For the purpose of these Terms of Service, the following definitions apply:

Service: The online platforms and related technology tools provided by geevo, including all features and functionalities, websites, and user interfaces, as well as all content and software associated with our service.

Account: A registered user profile created on the geevo platform that enables access to services provided by geevo. Accounts are unique to Users and contain necessary personal and transactional information.

Organizer: A User who creates, manages, and promotes Events using the geevo platform. Organizers are responsible for setting the terms of their Events, including pricing, availability, and entry requirements.

Attendee: An individual who purchases or acquires a Ticket through the geevo platform to attend an Event.

Event: Any scheduled gathering, performance, or activity made available for attendance or participation, organized by a User utilizing our platform.

Ticket: A digital representation that grants the holder the right to attend an Event. Geevo Tickets are designed to integrate with attendees' smartphones and can be verified safely at the Event's check-in point through our app. The ticket serves as proof of purchase and must be shown at the event's check-in point for entry.

Fee: Any charges, costs, or prices set by Organizers for attending an Event, as well as any fees geevo charges for using its platform and services. The fee charged by geevo covers the cost of maintaining and improving our platform and providing customer support to both Organizers and Attendees.
These terms should be understood as defined above concerning their use in these Terms of Service and any related documentation provided by geevo.
3. User Accounts
3.1 Account Eligibility
To create and maintain an account on geevo, you must:

Be at least 18 years old.

If you are registering on behalf of an entity (like your employer), you agree to these Terms on behalf of that entity.

Provide accurate and complete information during the registration process.
3.2 Account Responsibilities
As an account holder, you are responsible for:

Keeping your account information confidential.

Ensuring that all personal information on the account is current and accurate.

Complying with all applicable export control laws.
3.3 Prohibited Actions
You may not misuse our Platform. Expressly, you are prohibited from:

Using, reproducing, modifying, distributing, or creating derivative works of the Platform without our express permission.

Removing or altering any proprietary notices on the Platform.

Attempting to reverse engineer, decompile, or disassemble the Platform.

Using the Platform for any commercial purpose not expressly permitted by these Terms.

Collecting sensitive personal data or using the Platform to solicit personal data in violation of applicable laws.
Additionally, you may not use our service if you are located in any country under U.S. embargo or designated as a "terrorist supporting" country, nor may you be listed on any U.S. government list of prohibited or restricted parties.
4. Purchasing Tickets
4.1 How to Purchase
Attendees can purchase event tickets through the geevo platform, accessible via desktop and mobile browsers. To buy a ticket, attendees should:

Select the desired type of ticket and the quantity.

Complete the payment using our secure card processing gateway.
Once purchased, tickets are securely available for download in the user’s geevo profile and can be sent to their preferred digital wallet. The tickets will be emailed to the user’s registered and verified email address for their convenience and security.
4.2 Payment Methods and Processing
Organizers can choose their preferred payment processing method for their events. Options may include:

Direct Processing by geevo: We act as a limited agent to process consumer payments on the Organizer’s behalf using third-party payment service providers.

Facilitated Payment Processing: We transmit the consumer's payment details to the Organizer's designated payment provider without processing the transaction ourselves.
Attendees must use the payment method selected by the Organizer to complete their purchase. You represent and warrant that you are authorized to use the payment method you provide. The designated payment processor will make charges, and payments may be adjusted or refunded according to our Payment Policies.
4.3 Refund and Cancellation Policy
All ticket sales are final. Attendees acknowledge that tickets bought are non-refundable and agree to the terms at the time of purchase as indicated on our platform. The following outlines our cancellation and refund specifics:

Event Cancellation: Defined as the headlining artist or performer failing to appear as scheduled. Refunds must be handled directly between the Attendee and the Organizer in such cases.

Fraud and Compliance: We are not liable for any costs arising from Organizers' failure to verify ticket validity or ticket-related fraud. To ensure ticket validity, Organizers must strictly enforce the use of our app for ticket verification at the event's check-in point. Attendees must not use refunded tickets, and Organizers must strictly enforce ticket validity. Failure to do so may result in the Organizer's account being suspended or terminated.
The organizer is responsible for issuing refunds in cases of event cancellations or postponements. We encourage Attendees to contact the Organizer directly for all refund requests. Compliance with these policies ensures the integrity of transactions and the satisfaction of all parties involved.
5. User Conduct
5.1 Acceptable Use
When using the geevo platform, we must comply with all applicable laws and the specific terms and policies outlined on our site. You are also required to respect the rights of third parties. Certain features or areas of the platform may have additional terms you must accept before use. These additional terms will take precedence in the event of a conflict. Additionally, when utilizing third-party services integrated into our platform, such as Google Maps, you must adhere to their respective terms of service.
5.2 Prohibited Actions
You are prohibited from misusing the platform’s content and features. This prohibition includes unauthorized use, reproduction, modification, distribution, or creation of derivative works of the platform or any content found therein. Attempts to reverse engineer, decompile, or disrupt the normal operations of the platform are forbidden. You should also refrain from improperly collecting or soliciting personal or sensitive information from other users unless necessary for event organization or participation. Furthermore, ensure compliance with all local and international export control laws and confirm that you are not acting on behalf of entities in any country under a U.S. embargo or designated as supporting terrorism.
5.3 Enforcement
Failure to adhere to these guidelines may lead to actions such as modification, suspension, or termination of your account at our discretion. If you believe such an action has been taken in error, you are encouraged to contact us directly for clarification and potential resolution.
5.4 Content Control
While geevo does not continuously monitor the content posted by users, we reserve the right to investigate and act upon any violations of these terms. We are not responsible for continuously monitoring or verifying the content created by users, nor do we conduct background checks on users. It is important to note that geevo is not liable for the accuracy or truthfulness of user statements on the platform.
6. Intellectual Property
6.1 Ownership and Use of Platform Content
The content and features on the geevo platform, including information, data, software, text, design elements, graphics, images, and other material (collectively, "Content"), are proprietary and confidential, protected under intellectual property and other laws. geevo owns the Site Content or has permission from third parties to use it. Unless explicitly authorized by geevo, you are prohibited from using, hosting, storing, reproducing, modifying, publishing, displaying, performing, distributing, or creating derivative works from any portion of the Platform. You must also refrain from removing or altering any proprietary notices on the Platform or engaging in any activity that could interfere with the operation or integrity of the Platform.
6.2 Third-Party Content and Services
Our Platform integrates with and provides links to third-party sites and services that may offer their content and products. These third-party entities are governed by their terms and policies, and geevo does not control or assume responsibility for their content, products, or services. Your access to and use of any third-party content and services are governed by the terms and policies of those third parties. It is important to note that accessing our Platform does not grant you a license to use the intellectual property of these third parties.
6.3 Copyright and DMCA Compliance
By the Digital Millennium Copyright Act of 1998 (DMCA), geevo provides recourse for copyright owners who believe their rights have been infringed upon by material available on the Internet through our service. If you think your copyright has been infringed, you or your agent may send us a notice requesting that the material be removed or access to it blocked. All notices and counter-notices must comply with current statutory requirements outlined at loc.gov/copyright.
6.4 Limitations on Use
Unless expressly authorized in writing by geevo, you are not permitted to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, perform, publish, adapt, edit, or create derivative works from any Site Content. You may download or print a reasonable number of copies of the Site Content for your informational purposes, provided you maintain all copyright and other proprietary notices. Use of the Site Content for any other purpose without geevo’s express prior written permission is strictly prohibited. You must legally use the Site Content per this Terms of Service (TOS) and any applicable domestic and foreign laws and regulations.
7. Disclaimers and Limitations of Liability
7.1 Disclaimer of Warranties
The geevo platform is provided on an "as is" and "as available" basis without any express or implied warranties. To the fullest extent permissible according to applicable law, geevo expressly disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:
- The platform will meet your requirements,
- The operation of the platform will be uninterrupted, timely, secure, or error-free,
- The results that users may obtain from the use of the platform will be accurate or reliable, or
- The quality of any products, services, information, or other material purchased or obtained by you through the platform will meet your expectations.
7.2 Limitation of Liability
Under no circumstances shall geevo or its affiliates, officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from:

Your use or inability to use the platform,

Statements or conduct of any third party on the platform,

Any other matter relating to the platform.
This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if geevo has been advised of the possibility of such damage. The maximum liability of geevo to you for any reason will be limited to the greater of $100 or the amount of fees you have paid to geevo in the 12 months prior to the action giving rise to the liability.
7.3 Exclusions
The limitations on liability mentioned above will not exclude or limit liability for geevo’s gross negligence, fraud, intentional, malicious, or reckless misconduct. Additionally, suppose the laws of your country of residence do not allow some or all of the above limitations of liability to apply to you. In that case, these limitations will not affect your statutory rights.
8. Dispute Resolution
8.1 Initial Dispute Resolution
Geevo is committed to resolving disputes amicably and efficiently. If you have any dispute with us, we strongly encourage you to contact us directly to seek a resolution before pursuing other remedies. You and geevo agree to attempt to resolve any disputes through good-faith discussions before initiating formal proceedings. This process is initiated by sending a written notice describing the dispute and your proposed resolution. If the dispute cannot be resolved within 60 business days of receiving the initial notice, either party may proceed with arbitration as outlined below.
8.2 Arbitration Agreement
With limited exceptions, all disputes between you and geevo that cannot be resolved through direct discussions will be submitted to binding arbitration rather than in court. The arbitration will be conducted under the JAMS Streamlined Arbitration Rules and Procedures, except as this Agreement modifies. The Federal Arbitration Act governs the interpretation and enforcement of this agreement to arbitrate. You and geevo waive any rights to a trial by jury or to participate in a class action or representative lawsuit. Arbitration will occur in New York County, New York, unless otherwise agreed upon.
8.3 Specific Terms for Arbitration

Notice Requirement: To initiate arbitration, a party must first send a written Notice of Dispute via certified mail to the other party, describing the nature and basis of the claim and the relief sought. If geevo and you do not reach an agreement to resolve the claim within 60 days after the Notice is received, either party may commence an arbitration proceeding.

Procedure: The arbitration will be conducted according to JAMS's rules in effect when it is initiated. If there is any inconsistency between JAMS's rules and this Agreement, this Agreement shall govern.

Costs: Unless the arbitration rules or court order provide otherwise, you are responsible for your attorneys' fees. Each party will bear the costs and expenses related to the arbitration proceedings.

Judgment and Relief: The arbitrator's award will be binding and may be entered as a judgment in any court of competent jurisdiction. The arbitrator shall not be empowered to award relief for or against anyone not a party to the arbitration.

Exceptions: Claims related to intellectual property rights, including but not limited to theft, piracy, or unauthorized use, may be brought in state or federal court in the U.S. You and geevo may also bring any claims that qualify for small claims court in New York County, New York.
8.4 Waivers
By agreeing to arbitration, you and geevo acknowledge that you are each waiving the right to a trial by jury and the right to participate in a class action. This arbitration agreement will survive the termination of your relationship with geevo.
8.5 Court Proceedings for Injunctive and Other Equitable Relief
Notwithstanding the above, you or geevo may seek injunctive or other equitable relief to protect intellectual property rights in any federal or state court of competent jurisdiction in New York County, New York. Any provisional measures prescribed by a court shall remain in force until the arbitration award is rendered or the controversy is resolved.
9. Changes to Terms
9.1 Modifications to the Terms
We reserve the right to modify these Terms of Service, including the associated Privacy Policy, at any time ("Modifications"). We will inform you of any material changes by one or more of the following methods:

Posting the changes on the Services;

Updating the "Updated" date at the top of this page;

Sending you an email or message regarding the Modifications.
Material Modifications will take effect thirty (30) days after the "Updated" date noted on the change unless otherwise specified in our notice to you. All other Modifications will become effective immediately upon posting.
9.2 Your Responsibility
It is your responsibility to review any Modifications to these Terms. By continuing to use the Services after Modifications have been made, you are indicating your acceptance of those Modifications.
9.3 Specific Modifications
In some cases, we may agree on Modifications to these Terms that apply solely to you. These Modifications must be in writing and signed by both you and geevo to be effective.
9.4 Changes to Services
We continuously work to enhance our products and services to serve our users better. As a result, we cannot guarantee the permanent availability of any specific features or functionality. We reserve the right to modify, replace, or discontinue any part of the Services, or the entire Services, at any time, for any reason, without notice to you.
9.5 Notices
Unless explicitly stated otherwise in this Agreement or required by law, any notice from users to us must be sent by certified postal mail to geevo, Inc., Attn: Legal Department, 21W 45TH ST., Suite 601, New York, NY 10036, or by email to legal@geevo.io. Any notice to you will be sent to the most current email address associated with your account.
